Terms of Service

For the purpose of these Terms and Conditions (“Terms”), the following definitions shall apply:

• Company: refers to Ace of Diamonds INC, a corporation duly incorporated under the laws of the State of California, United States of America, with its principal place of business as stated on the website.
• Platform: refers to ReelsBuilder.ai, including all its subdomains, web applications, APIs, and related services.
• User: means any individual or entity accessing or using the Platform.
• Content: includes, but is not limited to, text, images, video, audio, code, software output, and all other data generated, uploaded, or published on the Platform.
• Generated Content: means content produced by or through the use of artificial intelligence or automation tools provided by the Platform.

By accessing or using ReelsBuilder.ai in any manner, you agree to be bound by these Terms and Conditions, our Privacy Policy, and any additional terms and conditions that may apply to specific sections of the Platform or to services offered via the Platform. If you do not agree to all of these Terms, you must not use the Platform.

Ace of Diamonds INC reserves the right to modify or update these Terms at any time, at its sole discretion. Material changes will be communicated through the Platform or via email, and continued use of the Platform after such changes will constitute your acceptance of the updated Terms.

The Platform is intended solely for users who are 13 years of age or older. If you are under the age of 18, you must obtain verifiable parental or legal guardian consent before using the Platform. By using the Platform, you represent and warrant that you meet the applicable eligibility requirements.

These Terms are written in English and are the governing version in case of discrepancies with any translated version. Local versions may be provided for convenience, but the English version shall prevail for legal interpretation and enforcement.

ReelsBuilder.ai is a digital platform designed to assist users in creating, editing, and optimizing short-form video content (e.g., Reels, Shorts, TikToks) using advanced automation and artificial intelligence technologies. The service may include features such as script generation, AI voiceovers, automated editing, captioning, background music selection, content scheduling, and integration with third-party platforms.

The Platform is generally accessible 24/7, except during planned maintenance, unexpected technical issues, or circumstances beyond the Company's control. The Company does not guarantee uninterrupted or error-free operation of the Platform and may limit access at its sole discretion for security, legal compliance, or performance optimization.

To access certain features, users may be required to create a personal account by providing accurate and complete registration information. Users are responsible for maintaining the confidentiality of their login credentials and are liable for all activities conducted through their accounts. The Company reserves the right to suspend or terminate accounts that violate these Terms.

The Platform may offer various access tiers, including:

• Free Plan: Limited access to basic features, possibly with usage restrictions or branding.
• Trial Plan: Temporary full access to premium features for evaluation purposes.
• Paid Plans: Subscription-based access to advanced tools, functionalities, and priority support.

Details about pricing, billing cycles, feature differences, and limitations of each plan are made available on the Platform and may be updated from time to time.

Subject to compliance with these Terms, the Company grants you a limited, non-exclusive, non-transferable, revocable license to access and use ReelsBuilder.ai solely for lawful personal or business purposes, in accordance with the functionalities made available to your account level (free, trial, or paid).

Users may not:

• Decompile, reverse engineer, disassemble, or attempt to derive the source code of the Platform;
• Circumvent or bypass any security measures or access restrictions;
• Copy, modify, or create derivative works based on the Platform or its components without prior written consent from the Company;
• Use automated systems (e.g., bots, scrapers) to access, extract, or interact with the Platform without express authorization.

You agree not to use the Platform to:

• Upload, generate, or distribute content that is unlawful, defamatory, infringing, harassing, hateful, or otherwise objectionable;
• Violate the intellectual property or privacy rights of any third party;
• Promote or engage in any fraudulent, deceptive, or misleading activities;
• Impersonate any person or entity or misrepresent your affiliation with any organization;
• Introduce viruses, malware, or other harmful code;
• Interfere with or disrupt the operation of the Platform or servers;
• Exploit any bugs/glitches in the software;
• Register with new accounts for free credits;
• Fake invites for free credits.

If you are under the age of 18, you may use the Platform only with the verifiable consent and supervision of a parent or legal guardian. The Company reserves the right to restrict or terminate accounts found to be operated in violation of this requirement.

The Platform may offer optional integrations with third-party tools or services (e.g., social media platforms, cloud storage, editing software). Your use of such integrations is governed by the respective terms and privacy policies of those third parties. The Company is not responsible for the availability, functionality, or compliance of any third-party service.

For the purposes of these Terms, "Generated Content" refers to any media, text, images, audio, video, captions, scripts, or other creative materials produced using tools, features, or AI functionalities available on ReelsBuilder.ai. This includes, but is not limited to, content automatically generated, enhanced, or suggested by the Platform based on user input.

Subject to Section 4.4, you retain ownership of the original content (e.g., text, images, video clips) you upload or submit to the Platform. By submitting content, you represent and warrant that you have all necessary rights, licenses, and permissions to use and distribute that content, and that it does not violate any applicable laws or third-party rights.

Any content generated by the Platform through artificial intelligence, automation, or algorithmic processing may be used by you for lawful personal or commercial purposes, subject to the following conditions:

• You are granted a non-exclusive, worldwide, royalty-free license to use, modify, publish, and monetize the generated content;
• Ace of Diamonds INC retains all rights, title, and interest in the underlying systems, algorithms, models, and prompts used to produce such content;
• You acknowledge that similar or identical outputs may be generated for other users based on similar inputs or prompts.

By using the Platform, you grant Ace of Diamonds INC a non-exclusive, royalty-free, transferable, sublicensable license to use, reproduce, modify, adapt, publish, and display the content you create through the Platform (including your user-uploaded content and the AI-generated content), solely for the following purposes:

• Operating, maintaining, and improving the Platform;
• Demonstrating service capabilities (e.g., in anonymized portfolios, marketing, or case studies);
• Ensuring compliance with these Terms and applicable laws.

You agree not to:

• Present AI-generated content as human-authored when disclosure is required by law or platform policies;
• Use generated content to mislead, impersonate, or spread misinformation;
• Publish generated content in violation of intellectual property, defamation, or hate speech laws;
• Sell, license, or distribute the generated content in a way that implies exclusive rights or authorship when such rights do not exist.

All rights, title, and interest in and to the Platform, including but not limited to the source code, algorithms, databases, user interface, design elements, branding, trademarks, trade names, logos, and all other intellectual property related to ReelsBuilder.ai, are and shall remain the exclusive property of Ace of Diamonds INC or its licensors. No rights or licenses are granted to you except as expressly stated in these Terms.

You agree not to:

• Decompile, disassemble, reverse engineer, or otherwise attempt to derive the source code of the Platform;
• Access the Platform to build a competing product or service;
• Copy, modify, or create derivative works based on any part of the Platform without prior written authorization from Ace of Diamonds INC.

Any attempt to do so will constitute a material breach of these Terms and may result in immediate termination of your access, as well as legal action.

Unless expressly stated otherwise, all rights not expressly granted under these Terms are reserved by Ace of Diamonds INC. Use of the Platform does not confer any intellectual property or ownership rights on the user, nor does it grant any implied licenses.

Ace of Diamonds INC actively enforces its intellectual property rights to the fullest extent of the law. If you become aware of any actual or suspected infringement, misuse, or unauthorized access to the Platform or its content, you are required to notify the Company immediately at the designated contact address.

All payments made to Ace of Diamonds INC for the use of ReelsBuilder.ai are final and non-refundable, except where required by applicable law or where expressly granted by the Company in its sole and absolute discretion. By purchasing any service, subscription, or upgrade, you acknowledge and agree that you are not entitled to a refund, credit, or exchange except as explicitly stated herein.

Ace of Diamonds INC may, at its sole discretion and without creating any obligation or precedent, issue a partial or full refund in exceptional cases. Such cases may include—but are not limited to—technical failures not resolved within a reasonable timeframe, billing errors, or verified duplicate payments.

The Company reserves the right to approve or deny any refund request for any reason, without being required to provide justification, and any decision made shall be final.

Refunds will not be granted under the following conditions, which include but are not limited to:

• User dissatisfaction with the Platform's features, AI-generated content, or aesthetic output;
• Misunderstanding or lack of familiarity with how the Platform works;
• Inactivity, non-usage, or failure to cancel prior to renewal;
• Project delays, abandonment, or change of business direction;
• Switching to alternative tools or competitors;
• Requests submitted after 7 calendar days from the original purchase date.

To request an exception-based refund, the user must:

• Submit a formal request to the Company via [official support email - **REPLACE THIS BRACKETED TEXT**], including full name, registered email, transaction ID, and detailed justification;
• Acknowledge that filing a request does not guarantee a refund;
• Understand that multiple refund requests or chargeback attempts may result in account suspension or termination.

Refund requests will be evaluated within 5 business days, and any decision issued will be considered final and binding.

Cancellation of a paid plan does not entitle the user to a refund for the unused portion of the service. Upon cancellation, the user will retain access until the end of the current billing period. No prorated refunds will be issued unless otherwise determined by the Company.

Initiating a chargeback or payment dispute without first contacting the Company to resolve the issue constitutes a breach of these Terms. The Company reserves the right to dispute such claims, recover associated fees, and permanently suspend the user’s account. Fraudulent or abusive behavior may be reported to relevant payment processors and legal authorities.

All payments must be made using valid and authorized payment methods accepted by the Company, including but not limited to major credit/debit cards and third-party payment processors such as Stripe or PayPal. You agree to keep your billing information accurate and up to date, and you authorize the Company to charge your selected payment method for all applicable fees.

Subscription plans are billed in advance on a recurring basis (monthly, annually, or otherwise specified at the time of purchase). Each billing cycle begins on the date the subscription is activated and renews automatically unless canceled in accordance with Section 7.3.

Electronic receipts or invoices will be provided for each successful transaction.

By subscribing to ReelsBuilder.ai, you acknowledge and agree that your subscription will automatically renew at the end of each billing cycle unless canceled beforehand.

Before completing your purchase, you will be clearly informed that the plan includes automatic renewal. Upon subscribing, you will receive a written confirmation via email including:

• The terms of the subscription,
• The pricing and renewal frequency,
• Instructions on how to cancel the subscription.

For plans lasting 12 months or longer, the Company will send a renewal reminder via email 15 to 30 days before the renewal date, as required by law.

You may cancel your subscription at any time by logging into your user account and accessing the billing section.

• Cancellations take effect at the end of the current billing period.
• No refunds will be issued for unused time, except as stated in Section 6.

Failure to cancel before the renewal date will result in a charge for the next billing period. The Company is not responsible for failed cancellations due to incorrect contact information or failure to monitor renewal notices.

• Upgrading your plan will take effect immediately, and you will be charged a prorated amount based on the remaining billing cycle.
• Downgrading your plan will take effect at the end of the current cycle to avoid service disruption.

The Company reserves the right to modify pricing, features, or available plans at any time, with prior notice provided to affected users.

If your payment method is declined, expired, or otherwise fails, the Company may:

• Retry the transaction,
• Notify you to update your payment method,
• Suspend or restrict access to paid features until payment is resolved.

Unresolved payment issues may lead to the termination of your subscription and deletion of associated content after a reasonable grace period.

All listed prices are exclusive of applicable sales, VAT, or use taxes unless otherwise stated. You are responsible for all applicable taxes imposed by your jurisdiction. Where legally required, the Company may collect such taxes at the point of sale.

Payments are processed through secure third-party platforms. By submitting payment, you also agree to the terms and privacy policies of those providers. The Company does not store or manage full payment details and is not responsible for delays or errors originating from the processor.

ReelsBuilder.ai and all related services are provided on an "as is" and "as available" basis, without warranties of any kind, express or implied. To the fullest extent permitted by law, Ace of Diamonds INC disclaims all warranties, including but not limited to:

• Implied warranties of merchantability,
• Fitness for a particular purpose,
• Accuracy, reliability, or results of AI-generated content,
• Non-infringement of third-party rights.

The Company does not warrant that the Platform will be uninterrupted, error-free, secure, or free of harmful components.

To the maximum extent permitted by applicable law, Ace of Diamonds INC and its affiliates, directors, officers, employees, and contractors shall not be liable for any:

• Indirect, incidental, consequential, special, exemplary, or punitive damages,
• Loss of profits, revenue, data, reputation, or business opportunities,
• Damages resulting from content generated by or through the use of artificial intelligence,
• Damages caused by delays, errors, service interruptions, or failure to deliver outputs.

This applies even if the Company has been advised of the possibility of such damages or if any remedy fails of its essential purpose.

In all cases, the total cumulative liability of Ace of Diamonds INC for any claim arising out of or relating to these Terms or the use of the Platform shall not exceed the total amount paid by the user to the Company in the three (3) months preceding the claim.

If no such payments have been made, the maximum liability shall be limited to fifty U.S. dollars (USD $50).

The Company shall not be held liable for any failure or delay in performance due to events beyond its reasonable control, including but not limited to:

• Acts of God,
• Natural disasters,
• Internet outages,
• Governmental actions,
• War, terrorism, labor strikes, or third-party service failures.

You understand and agree that:

• You are solely responsible for how you use the Platform and the content you create with it;
• You assume full responsibility for any risks associated with publishing, sharing, or commercializing generated content;
• The Company is not liable for any legal claims, copyright disputes, platform bans, or other consequences arising from your use of the service.

You agree to indemnify, defend, and hold harmless Ace of Diamonds INC, its affiliates, directors, officers, employees, licensors, contractors, and agents from and against any and all claims, demands, liabilities, damages, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:

• Your use or misuse of ReelsBuilder.ai;
• Any content you upload, submit, or generate through the Platform;
• Your violation of these Terms or any applicable laws or regulations;
• Your infringement or alleged infringement of any third-party rights, including intellectual property, privacy, or publicity rights.

Ace of Diamonds INC reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you. In such cases, you agree to cooperate fully with the Company in asserting any available defenses and in resolving the matter in a timely and cost-efficient manner.

If a third party files a claim, complaint, or legal action against Ace of Diamonds INC related to your use of the Platform or your generated content:

• You agree to provide all necessary documentation, clarifications, and support;
• You will not settle any such matter without prior written consent from the Company;
• The Company reserves the right to recover from you any costs or damages incurred as a result of the claim, including judgments or settlement amounts.

By using ReelsBuilder.ai, you acknowledge and agree that Ace of Diamonds INC may collect, store, and process certain personal data as described in our Privacy Policy, which is hereby incorporated into these Terms by reference.

This may include, but is not limited to:

• Contact information (e.g., name, email address),
• Billing and payment data,
• Usage data, preferences, and interaction logs,
• Content uploaded, generated, or edited via the Platform.

All personal data is processed in accordance with applicable data protection laws, including the California Consumer Privacy Act (CCPA) and, where applicable, the General Data Protection Regulation (GDPR).

You agree that the Company may use anonymized and aggregated data derived from your activity on the Platform to:

• Improve system performance and user experience,
• Train and refine machine learning models,
• Generate usage statistics and trends,
• Develop new features and services.

No personally identifiable information will be shared publicly or sold to third parties without your explicit consent, except as required by law or as permitted under the Privacy Policy.

The Company implements reasonable administrative, technical, and physical safeguards to protect user data against unauthorized access, loss, misuse, or disclosure. However, no system can be guaranteed 100% secure.

Data will be retained only for as long as necessary to fulfill the purposes outlined in the Privacy Policy or to comply with legal obligations. Users may request data deletion or export in accordance with applicable laws and procedures.

The Platform may include links to third-party websites, tools, or integrations that are not owned or controlled by Ace of Diamonds INC.

We are not responsible for the content, data practices, or security of such third parties.

Your interaction with any third-party service is governed by their respective privacy policies and terms.

Ace of Diamonds INC reserves the right to temporarily suspend or restrict access to ReelsBuilder.ai, without prior notice, if:

• You are in breach of these Terms,
• There is suspicion of fraudulent activity or unauthorized use,
• Your account poses a security risk to the Platform or other users,
• You fail to make timely payment or your billing method fails,
• Required legal compliance or investigation demands it.

Suspension is a precautionary measure and does not waive the Company's right to fully terminate the account.

Your account may be permanently terminated without refund or prior notice if:

• You repeatedly or materially violate these Terms,
• You use the Platform for illegal, abusive, or malicious purposes,
• You submit false, misleading, or harmful content,
• You initiate chargebacks or payment disputes without valid reason,
• You attempt to harm the integrity, availability, or reputation of the Platform.

In such cases, you forfeit access to any generated content, licenses, or paid features, and the Company is not liable for any resulting loss.

Upon account termination:

• All rights granted to you under these Terms will immediately cease,
• Access to your content, history, and any stored data may be deleted,
• The Company has no obligation to retain or export your content unless required by law.

You are responsible for exporting any data or deliverables prior to termination. The Company assumes no liability for loss of data post-termination.

You may cancel your subscription or delete your account at any time via the account settings.

• Cancellation of a subscription does not automatically delete your account or personal data.
• If you wish to permanently close your account and delete all data, you must request it specifically in writing or via the dedicated account closure function.

Certain data may be retained for a legally required retention period as detailed in our Privacy Policy.

These Terms and any disputes or claims arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law principles or the laws of any other jurisdiction.

You agree that any legal action, suit, or proceeding arising out of or related to these Terms shall be exclusively brought in the state or federal courts located in Los Angeles County, California, and you hereby irrevocably consent to the personal jurisdiction and venue of such courts.

As an alternative to litigation, any dispute, claim, or controversy arising out of or relating to your use of the Platform or these Terms, including the determination of the scope or applicability of this agreement to arbitrate, shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules.

• The arbitration shall be conducted in Los Angeles, California, in English.
• Each party shall bear its own legal fees and costs, unless otherwise decided by the arbitrator.
• The arbitrator’s decision shall be final and enforceable in any court of competent jurisdiction.

You understand and agree that, by accepting this arbitration clause, you waive your right to a trial by jury or to participate in a class action lawsuit.

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.

The invalid provision will be interpreted or modified to the minimum extent necessary to make it enforceable while preserving the original intent.

These Terms, together with the Privacy Policy, Cookie Policy, and any other legal notices or agreements published by Ace of Diamonds INC, constitute the entire agreement between you and the Company with respect to the use of ReelsBuilder.ai and supersede all prior or contemporaneous understandings, communications, and proposals, whether oral or written.

No failure or delay by the Company in exercising any right, power, or remedy under these Terms shall operate as a waiver of that right or any other rights. Any waiver must be explicit and in writing to be effective.

No user shall have any rights or remedies against the Company except those expressly granted in these Terms.

You may not assign, transfer, sublicense, or delegate any of your rights or obligations under these Terms without the prior written consent of Ace of Diamonds INC.

The Company may assign or transfer these Terms freely, without notice or restriction, in the event of a merger, acquisition, or sale of assets.

All legal notices must be sent in writing to the Company’s designated contact address or via email at the official address published on the website.

Routine communications may be sent to you electronically, including via email or through in-app notifications. You agree that such communications satisfy any legal requirement for written notice.

All provisions of these Terms which by their nature should survive termination of your account or cessation of use of the Platform shall remain in full force and effect. This includes, but is not limited to:

• Ownership provisions,
• Warranty disclaimers,
• Limitations of liability,
• Indemnity obligations,
• Governing law and dispute resolution terms.

By accessing or using ReelsBuilder.ai, you agree to treat as confidential any non-public information disclosed by Ace of Diamonds INC or accessible through the Platform, whether directly or indirectly, and regardless of the format. This includes, but is not limited to:

• Source code, algorithms, training data, and prompts,
• Business strategies, operational processes, and internal documentation,
• Product roadmaps, unreleased features, or private dashboards,
• Any proprietary content or user-specific data provided by the Company.

You shall not disclose, publish, share, reproduce, or use such Confidential Information for any purpose outside the scope of your authorized use of the Platform, without prior written consent from Ace of Diamonds INC.

Confidential Information does not include information that:

• Was already publicly known at the time of disclosure,
• Becomes publicly known without breach of this Agreement,
• Is independently developed without use of the Company’s confidential materials,
• Is lawfully disclosed by a third party without confidentiality obligations.

The burden of proof rests with the user to demonstrate the applicability of these exceptions.

The confidentiality obligations set forth in this section shall:

• Survive for five (5) years following the last access or use of the Platform,
• Or indefinitely, if the information relates to trade secrets or proprietary algorithms protected under applicable law.

Unauthorized disclosure or misuse of Confidential Information constitutes a material breach of these Terms and may result in:

• Immediate account termination,
• Civil legal action for damages and injunctive relief,
• Criminal prosecution where applicable.

Ace of Diamonds INC reserves the right to seek equitable remedies, including temporary or permanent injunctions, without posting bond, to prevent or mitigate further harm.

ReelsBuilder.ai is not intended for children under the age of 13.

Users between the ages of 13 and 17 may access and use the Platform. By allowing a minor to register and use the Platform, the parent or legal guardian:

• Is deemed to have given their implicit consent to the minor’s use of the Platform,
• Accepts full responsibility for the minor’s compliance with these Terms,
• Agrees to supervise the minor’s use and content interactions,
• Consents to the collection and processing of the minor’s personal data, as described in our Privacy Policy.

The Company may request proof of age or parental authorization in case of suspicious or abusive activity and reserves the right to suspend or delete any account that violates these conditions.

Parents or legal guardians acknowledge and agree that:

• They are solely responsible for monitoring the minor’s behavior and interactions within the Platform,
• They must ensure that the minor does not engage in any monetization activity, paid plans, or external integrations without appropriate permission,
• The Company shall not be held liable for any consequences, harm, or dispute arising from a minor’s access or use of the Platform.

To promote a safe and responsible user experience, the Company may apply additional restrictions to accounts belonging to users under 18, including but not limited to:

• Limiting access to certain AI features (e.g., voice cloning or deep synthesis),
• Restricting the ability to share or publish generated content publicly,
• Blocking integrations with social media or third-party platforms,
• Disabling access to in-app purchases or paid plans unless explicitly authorized by a parent or guardian.

These measures do not override the user's responsibility and are implemented solely to uphold platform safety standards.

By accessing, browsing, registering for, or using any part of ReelsBuilder.ai, you expressly acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.

Acceptance may be recorded through any of the following means:

• Clicking an "I agree" or similar button during account creation or purchase,
• Using the Platform in any way after these Terms have been made available,
• Continuing to use the Platform after updates to these Terms have been posted.

This agreement is legally binding and enforceable as if signed in writing.

You agree that all forms of electronic acceptance (including but not limited to digital signatures, checkbox confirmations, and electronic communications) shall have the same legal effect as a handwritten signature under the U.S. Electronic Signatures in Global and National Commerce Act (ESIGN Act) and applicable state laws, including California’s Uniform Electronic Transactions Act (UETA).

Ace of Diamonds INC reserves the right to update or modify these Terms at any time, at its sole discretion. When changes are made, a notice will be:

• Posted on the Platform,
• Or sent via email to registered users (where applicable).

Your continued use of the Platform after such updates constitutes your acceptance of the revised Terms.

If you do not agree to the new Terms, your only remedy is to discontinue using the Platform and request account closure.

You are solely responsible for determining and complying with all applicable tax obligations related to your use of ReelsBuilder.ai, including but not limited to:

• Income taxes on profits earned from content created with the Platform,
• Value-added taxes (VAT), goods and services taxes (GST), or sales taxes imposed by your local jurisdiction,
• Self-employment, business, or digital service taxes as required by law.

Ace of Diamonds INC does not provide tax advice. You should consult your own legal or tax advisor regarding your obligations.

Unless explicitly stated otherwise, all prices and fees shown on ReelsBuilder.ai are exclusive of any applicable taxes. Where legally required, the Company may:

• Add applicable sales tax, VAT, or GST at checkout,
• Withhold taxes on payments made to users (e.g., in the case of affiliate programs or commissions),
• Provide tax-related forms such as Form 1099-MISC or other reports if mandated under U.S. law.

You agree to provide accurate and complete tax information when requested, and you authorize the Company to issue such documentation as needed.

In jurisdictions where Ace of Diamonds INC is required to report user earnings or transactions to tax authorities (e.g., IRS in the U.S., or EU VAT regulations), the Company reserves the right to do so without additional consent.

Failure to comply with your tax obligations may result in:

• Suspension or termination of your account,
• Withholding of payouts or services,
• Legal reporting to regulatory authorities.

ReelsBuilder.ai leverages artificial intelligence to assist users in creating, optimizing, and enhancing multimedia content. All outputs generated by the Platform—whether textual, visual, audio, or video—are produced automatically based on user inputs and system parameters.

You acknowledge that such content may contain inaccuracies, inconsistencies, or unintended results, and should not be considered complete, authoritative, or legally verified.

The Company makes no representations or warranties regarding:

• The factual accuracy, reliability, or completeness of any AI-generated output;
• The originality of the content with respect to copyright law;
• The suitability of the content for any specific commercial, legal, medical, or educational purpose.

All generated content is provided strictly "as is" and at your own risk.

You are solely responsible for:

• Reviewing, editing, and validating any AI-generated output before publishing, distributing, or using it;
• Ensuring that the content does not violate applicable laws, third-party rights, or platform policies;
• Any consequences, legal or otherwise, arising from the use or publication of such content.

The Company shall not be held liable for any claims, damages, losses, or penalties resulting from your use of AI-generated content.

ReelsBuilder.ai is not affiliated with or endorsed by any third-party platform, including but not limited to Meta (Instagram, Facebook), TikTok, or YouTube.

It is your sole responsibility to ensure that any content created using the Platform complies with the terms, guidelines, and community standards of such external services.

ReelsBuilder.ai may, from time to time, offer access to certain features, tools, or functionalities marked as “Beta,” “Preview,” “Experimental,” or “Early Access.” These features are made available on a discretionary and voluntary basis, and may be accessible only to selected users, plans, or whitelabel clients.

Beta features are provided “as is” and without any warranties, express or implied.

By accessing or using any beta or experimental functionality, you acknowledge and agree that:

• Such features may contain bugs, limitations, or technical issues;
• The outputs or behaviors may be inconsistent or incomplete;
• There may be no formal documentation, support, or uptime guarantees.

You agree to use beta tools at your own risk, and without reliance on their performance or availability.

Ace of Diamonds INC reserves the right to:

You further agree that participation in beta testing does not create any right to compensation, priority access, or service level agreements.

By submitting any feedback, suggestion, idea, comment, or recommendation (collectively, “Feedback”) regarding ReelsBuilder.ai, you acknowledge that such Feedback is provided voluntarily and without any expectation of compensation, confidentiality, or attribution.

You agree that:

• All Feedback submitted becomes the exclusive property of Ace of Diamonds INC;

• You waive any moral rights and claims to royalties, recognition, or authorship related to the use or incorporation of such Feedback.

To the extent that any rights remain with you, you hereby grant Ace of Diamonds INC a worldwide, perpetual, irrevocable, royalty-free, sublicensable license to:

• Use, reproduce, modify, adapt, publish, incorporate, and otherwise exploit the Feedback,
• For any purpose, including improving the Platform, developing new products, or commercial activities.

Unless explicitly agreed to in a separate written agreement, Ace of Diamonds INC is not obligated to treat Feedback as confidential, even if the user designates it as “confidential” or “private.”

You acknowledge that the Company may be working on, or may in the future develop, technologies, services, or features similar to or competitive with any Feedback you submit, and this does not entitle you to any rights or claims of infringement.

Access to whitelabel functionalities or to the ReelsBuilder.ai API is available exclusively under a separate, paid agreement with Ace of Diamonds INC.

No user is permitted to access, integrate, or redistribute whitelabel or API-based versions of the Platform without:

• A valid commercial license,
• Explicit written approval by the Company,
• And agreement to any applicable supplemental terms.

Unless otherwise agreed in writing, all whitelabel and API clients are granted a limited, non-exclusive, non-transferable, non-sublicensable license to:

• Integrate the Platform’s features within their own services,
• Provide access to end users under their brand,
• Use the Platform for internal or client-facing purposes.

The following are strictly prohibited without prior written consent:

• Sublicensing or reselling the API or whitelabel access,
• Hosting the platform or any component of it on external infrastructure,
• Modifying, reverse engineering, or creating derivative works from the underlying codebase or models.

Unless otherwise specified in the commercial agreement, whitelabel clients are:

• Authorized to remove visible ReelsBuilder.ai branding from the user interface,
• Prohibited from claiming ownership of the platform or its technology,
• Required to include any legally mandated notices (e.g., copyright, disclaimers) as instructed by Ace of Diamonds INC.

The Company reserves the right to:

• Define and enforce rate limits, usage quotas, or call restrictions on API or whitelabel endpoints,
• Monitor usage to ensure compliance with the terms and prevent abuse,
• Suspend or throttle access in case of misuse, excessive load, or breach of contract.

All content generated through the API or whitelabel interface remains subject to the general provisions of these Terms, including:

• Section 4 (User-Generated Content and Ownership),
• Section 19 (AI Output Disclaimer),
• Section 23 (Monetization Disclaimer).

The licensee is fully responsible for any content distributed via their whitelabel version and must ensure end-user compliance with applicable laws and platform restrictions.

Ace of Diamonds INC reserves the right to:

• Revoke access to the whitelabel or API service at any time in case of contract violation, legal obligation, or abuse,
• Require removal of the integration within 7 business days of written notice,
• Pursue legal remedies in case of unauthorized use, disclosure, or monetization.

ReelsBuilder.ai provides tools to assist users in creating and optimizing content. However, Ace of Diamonds INC makes no representations or warranties regarding:

• Your ability to monetize content generated through the Platform,
• The financial or business outcomes of using such content,
• Traffic, engagement, reach, or conversion rates associated with generated outputs.

Any decision to use ReelsBuilder.ai for commercial or revenue-generating purposes is made at your own discretion and risk.

You acknowledge that:

• You are solely responsible for how and where you publish, distribute, or monetize the content created using the Platform,
• The Company does not operate, control, or endorse any external platforms (e.g., YouTube, TikTok, Instagram) where content may be used,
• Ace of Diamonds INC shall not be held liable for account suspensions, monetization rejections, or platform bans resulting from your use of AI-generated content.

The use of ReelsBuilder.ai does not create any agency, partnership, joint venture, or employment relationship between you and Ace of Diamonds INC.

You shall not present yourself as a representative or authorized partner of the Company unless explicitly permitted in a separate written agreement.

Unless otherwise specified in a dedicated affiliate or partnership contract, the Company:

• Has no claim over your earnings or monetization activities,
• Is not obligated to provide tracking, support, or attribution for third-party revenue,
• Will not be liable for lost profits, business interruptions, or platform policies affecting monetization.

ReelsBuilder.ai and all services offered by Ace of Diamonds INC are subject to the export control laws and regulations of the United States, including but not limited to:

• The Export Administration Regulations (EAR) administered by the U.S. Department of Commerce,
• The International Traffic in Arms Regulations (ITAR), and
• The economic and trade sanctions programs administered by the Office of Foreign Assets Control (OFAC) of the U.S. Department of the Treasury.

By using the Platform, you agree to comply with all such applicable laws and regulations.

You may not use, export, re-export, transfer, or otherwise make available ReelsBuilder.ai:

• Into (or to a national or resident of) any country or region that is subject to U.S. trade sanctions, including but not limited to Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, and Luhansk regions of Ukraine;
• To any individual or entity listed on the U.S. Specially Designated Nationals (SDN) List, Denied Persons List, Entity List, or other restricted party lists.

By accessing or using the Platform, you represent and warrant that:

• You are not located in, and are not a citizen or resident of, any country or territory subject to embargoes or economic sanctions by the United States or other applicable jurisdictions;
• You are not named on any U.S. government list of prohibited or restricted parties;
• You will not use the Platform for any purpose prohibited by applicable laws, including but not limited to the development, design, manufacture, or production of nuclear, missile, or chemical/biological weapons.

Ace of Diamonds INC reserves the right to:

• Deny or revoke access to the Platform in case of suspected or verified violations of export control regulations,
• Report any such activity to relevant regulatory authorities,
• Enforce this section without notice and without liability for suspension or termination of services.

Ace of Diamonds INC reserves the right to modify, suspend, or discontinue ReelsBuilder.ai, in whole or in part, at any time and without liability, for business, legal, or technical reasons.

This includes, but is not limited to:

• The shutdown of specific features, pricing plans, or integrations,
• Migration to a new platform or infrastructure,
• Rebranding, restructuring, or acquisition.

Whenever reasonably possible, the Company will provide advance notice to affected users.

In the event of a planned permanent termination of the Platform:

• Users will be provided with a minimum notice period of 30 calendar days via email and/or public communication,
• During this period, users may access their account to export content and data as permitted by the Platform,
• After the termination date, access will be permanently disabled, and data may be deleted in accordance with Section 10 (Data Protection and Privacy).

You acknowledge and agree that:

• Ace of Diamonds INC is under no obligation to continue offering the service indefinitely,
• The Company is not required to transfer, license, or make available the Platform codebase, infrastructure, or any component thereof to third parties or users upon termination,
• Business continuity beyond the scope of these Terms may only be guaranteed under a separate enterprise agreement or SLA.

To the fullest extent permitted by law, the Company shall not be held liable for:

• Any damages or losses resulting from service discontinuation,
• Loss of access to AI-generated content or project data,
• Any business interruption, reputational damage, or commercial impact caused by the end of service availability.

You are responsible for maintaining accurate and up-to-date contact information in your account. The Company shall not be liable for failure to deliver notices due to:

• Incorrect or outdated user data,
• Spam filters, auto-deletion, or misconfigured inboxes,
• Failure to monitor the account dashboard or email.

All legal notices must be provided in English and in written format (email or formal letter). Oral communications shall not constitute valid notice unless confirmed in writing.

For the purposes of these Terms and Conditions, the following terms shall have the meanings set forth below. Any term not defined herein shall be interpreted in accordance with common industry usage or applicable law.

• Account: A registered user profile on ReelsBuilder.ai that allows access to features, billing, and generated content.
• Affiliate: A user participating in a separate affiliate program agreement with Ace of Diamonds INC for the purpose of referring new users or promoting the service in exchange for compensation.
• API (Application Programming Interface): A set of programmatic tools, endpoints, and documentation provided by Ace of Diamonds INC to enable approved third-party integrations with the Platform.
• Beta Feature: Any feature, tool, or function labeled as “beta,” “early access,” “preview,” or “experimental,” provided on a discretionary and trial basis without performance guarantees.
• Content: Any output, media, file, or data generated, edited, or processed through the ReelsBuilder.ai Platform, including videos, text, audio, graphics, or prompts.
• Generated Content: Content produced by the Platform's AI systems, either fully automated or based on user-provided inputs or templates.
• Platform: The full suite of services, tools, interfaces, APIs, and technologies offered by ReelsBuilder.ai under the operation of Ace of Diamonds INC.
• User / You: Any individual, organization, or entity that accesses or uses ReelsBuilder.ai, whether through a free or paid plan.
